1.0 Introduction
1.1. This 3Verse Virtual Debit Card Terms and Conditions (these "T&C") represent an agreement between you and Palremit ("Palremit," "we," "us," or "our") and outlines the terms and conditions governing the Palremit Virtual Card Service.
1.2. By obtaining and utilizing a Virtual Card from Palremit, you represent that you have read and understood this T&C and agree to be bound by its and our Privacy Policy. You also agree to be bound by the general terms of service available at Terms and condition (palremit.com) as may be applicable.
2.0 Definitions and Interpretations In these T & C;
2.1. "AML/CFT" means Anti-Money Laundering/Countering the Financing of Terrorism;
2.2. "Partner Financial Institutions" means companies or services that Palremit collaborate with to offer expanded services;
2.3. "ATM" means Automated Teller Machine;
2.4. "Party/Parties" means you or Palremit/you and Palremit
2.5. "POS" means Point of Sale.;
2.6. "Privacy Policy" means Palremit’s Privacy Policy accessible on Privacy policy (palremit.com);
2.7. "T&C" means these Terms and Conditions;
2.8. "Transaction" means any digital exchange of value facilitated by Palremit;
2.9. "Virtual Card" or "Card" mean the Palremit virtual prepaid card issued in partnership with Visa and represented by a 16-digit card number issued to you by Palremit.
2.10. "You", "your", and "yourself", "Users" mean the person(s) who generate or receive a Virtual Card and are authorized to use a Virtual Card as provided for in these T&C.
2.11. Unless it would be inconsistent to do so, words and phrases used in this Agreement should be construed so that the singular includes the plural and the plural includes the singular. Our business days are Monday through Friday, excluding federal holidays, even if we are open. Any references to “days” found in this T&C are calendar days unless indicated otherwise.
2.12. Section headings in this T&C are for convenience of reference only, and shall not govern the interpretation of any provision of this T&C.
3.0 The Virtual Card
3.1. The Virtual Card is a financial payment and settlement account number issued (without a physical card medium) that can be used to purchase goods and services on all websites and applications that accept virtual visa cards.
3.2. The virtual Card is prepaid hence, the value available in your Virtual Card is limited to the funds that you have loaded or that have been loaded on your behalf, on your virtual card less any applicable fee or transaction charges.
3.3. You may, at our discretion, create more than one Card to a maximum of ______ Cards at any time. Each Virtual Card you create will have a unique Card number and a unique CVV number.
3.4.You can choose the expiry date of each Card, and you can view these details at any time on the Mobile App.
The funds in your balance will not expire, regardless of the expiration date on the front of your Card. If a positive balance remains on your Virtual Card at expiration, we may automatically transfer those funds to your linked Palremit wallet or other designated wallet. You will be notified once this transfer takes place.
If you wish to continue using the Palremit Virtual Card service after your current card expires, you can request a new card through your 3Verse App or online account. Standard card issuance fees may apply (refer to the Schedule of Charges).
3.5.Each virtual card is issued in a specific currency.
If you make a purchase or obtain funds in a currency other than the currency your Virtual Card was issued in, the transaction amount will be converted into your Virtual Card's currency. The exchange rate used for the conversion will be determined by taking into consideration the prevailing market rates as at the applicable processing date. This rate may differ from the government-mandated rate in effect on that date.
3.6. The Virtual Card is non transferable, is not for resale, and may be canceled, repossessed, or revoked at any time without prior notice subject to applicable law.
We may also cancel your Card if we determine that it is being used for illegal purposes or in contravention of this T&C.
4.0 Account Registration
4.1. You are required to have an active and verified Palremit account/wallet to request and use Virtual Cards.
4.2. By creating a Palremit account and requesting a Virtual Card, you confirm that:
4.3. In connection with your Virtual Card(s), you authorize Palremit to act as your agent for holding, receiving and disbursing funds to settle online transactions on your behalf through our Partner Financial Institutions.
4.4. Your authorization permits Palremit to undertake electronic funds transfers from your Palremit wallet or linked payment method to process Virtual Card transactions.
4.5. You agree to use Palremit Virtual Cards only for lawful purposes in compliance with these T&C and applicable laws/regulations.
5.0 KYC Requirements for Card Issuance
5.1. To comply with applicable AML/CFT laws or regulations and prevent fraud, Palremit is required to obtain, verify, and record information that identifies each person who obtains a Card (including a Virtual Card). Accordingly, when you request a Card, we will ask you for certain information, including your name, address, date of birth, Social Security Number, phone number, and other information that will allow us to identify you.
5.2. We may also request additional identifying information and documentation in connection with your access to or use of certain Card features, functionality, and services. If we ask for specific identifying documents, we will have the right to immediately close or suspend your Card Account if those specific documents are not provided. These measures are specifically designed to help us protect your identity and identify possible fraud on your account/wallet.
5.3. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information.
6.0 Partner Financial Institutions
6.1. By using our Virtual Card Services, you expressly acknowledge and authorize Palremit to share information with our Partner Financial Institutions.
6.2. Your use of these services is subject to the respective Partner Financial Institution's terms of service and privacy policies. Pursuant to these T&C you are authorizing and directing Palremit to create and administer these accounts on your behalf, to consent and agree to necessary terms and policies (where applicable) on your behalf, and to carry out the transactional and investment instructions (transfer, buy, sell, etc.) that you may provide to us from time to time, with respect to third-party accounts.
6.3. You agree that Palremit may access and retrieve your information from these accounts to display that information to you and facilitate your use of those accounts through our Virtual Card Services. You also acknowledge that Palremit will close all or cancel link to such affiliate and third-party accounts when you terminate your Account with Palremit, and you hereby direct and authorize Palremit to do so.
6.4. The use of our Virtual card on a third parties sites or apps may be subject additional terms and conditions.
6.5. To the extent permitted under applicable law, you understand and agree that Palremit, in its capacity to act on your behalf with our Partner Financial Institutions, will not be liable to you for any losses, expenses, damages, liabilities, charges and claims of any kind or nature whatsoever (including without limitation any legal expenses and costs and expenses relating to investigating or defending any demands, charges and claims) (collectively, “Losses”) incurred by you with respect to any of the third party accounts, except to the extent that such Losses are actual losses proven with reasonable certainty and are the direct result of an act or omission taken or omitted by Palremit during the term of this Agreement which constitutes willful misfeasance, bad faith, or gross negligence under this Agreement.
7.0 Virtual Card Usage
7.1. Virtual Cards can only be used for legitimate online/digital purchases of goods/services from merchants that accept virtual Visa card payments. The Virtual Card does not support cash deposit or withdrawing and other related physical card functions, including but not limited to ATM and POS devices.
7.2. Each time you use your Card, you authorize us to reduce the value available in your Virtual Card by the amount of the transaction and any applicable fees. You are not allowed to exceed the available amount in your Virtual Card through an individual transaction or a series of transactions.
7.3. Nevertheless, if a transaction exceeds the balance of the funds available on your Virtual Card, you shall remain fully liable to us for the amount of the transaction and any applicable fees. We may deduct any amount that you owe us from any current or future funds associated with this or any other Virtual Card you activate or maintain.
7.4. You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. You agree to immediately notify Palremit of any unauthorized use, or suspected unauthorized use of your Account or any other breach of security. Palremit cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements. Palremit reserves the right to immediately suspend/deactivate any compromised or at-risk Virtual Cards to prevent further misuse.
7.5. If you wish to suspend/deactivate your Virtual card, or revoke someone's access to your Virtual Card, you must take steps to deactivate or cancel the card. This may be done through the Palremit app, or by contacting customer support at support@3-verse.io. Until this is done, transactions on the card will be deemed authorized by you.
7.6. We reserve the right to deduct funds from your Virtual Card or other wallet in order to correct a previous error or overpayment to you.
8.0 Restrictions and Limitations on Virtual Cards
8.1.1. In violation of this T&C or applicable laws, rules, or regulations;
8.1.2. For illegal purposes (for example, committing fraud);
8.1.3. In a way that we reasonably believe might harm our ability to provide our services;
8.1.4. To control or use a Palremit account that's not yours;
8.1.5. To create Paremit Cards for any other person other than yourself;
8.1.6. To allow anyone else to have access to or use your account or the Palremit app;
8.1.7. To abuse, exploit or get around any usage restrictions set by a service provider your Palremit account or Virtual Card is registered with.; or
8.1.8. For gambling activities, fraud, money laundering, or the funding of terrorist organizations.
8.2. If you use the Service in connection with illegal conduct, Palremit may report you to law enforcement.
8.3. We generally do not let you change the details of your Transaction once it is submitted to us for processing. It is your responsibility to make sure your Transaction details are accurate.
8.4. In connection with your use of our virtual card services, or in the course of your interactions with Palremit, a user or a third party, you will not:
8.4.1. Breach this Agreement, or any other agreement between you and Palremit;
8.4.2. Refuse to cooperate in an investigation or provide confirmation of your identity;
8.4.3. Use an anonymizing proxy; or
8.4.4. Use any automatic device, or manual process to monitor or copy activities on our website or application.
8.5.The following transaction limits will apply to our Virtual Card:

8.6. To the extent permitted by applicable law, we reserve the right to:
8.6.1. Change the transaction limits;
8.6.2. Limit, block, or place a hold on certain types of transactions: and;
8.6.3. Limit, suspend, or block transfers from particular persons, entities, or Virtual Cards.
9.0 Fees
9.1.Fees applicable to the Virtual Card will be outlined in our Schedule of Charges annexed. This schedule may include fees for card issuance, transactions, reloading, inactivity, and other potential services.
9.2. The Schedule of Charges will be readily accessible to you, either through the Palremit app, website, or by contacting customer support.
9.3. Palremit reserves the right to update the Schedule of Charges at its discretion. You will be notified of any significant changes in advance.
10.0 Indemnification.
10.1. You will defend, indemnify, and hold harmless us, and our affiliates and representatives from and against any losses arising out of or relating to any third-party claim concerning:
10.1.1.Your use of Palremit's services (including any activities in respect of your Virtual Card (other than due to our willful misconduct);
10.1.2.Breach of this T&C or violation of applicable law by you; or
10.1.3.A dispute between you and any vendor or third-party.
10.2.You will reimburse us for reasonable attorneys' fees, as well as our employees' and contractors' time and materials spent responding to the third-party subpoena or
11.0 Third-party Refund & Return
11.1. If you are entitled to a refund for any reason for goods or services obtained with your Virtual Card, you agree to accept credits to your Virtual Card for such refunds and agree to the refund policy of that third party. The exchange or return of goods purchased in whole or in part with the Virtual Card will be governed by the procedures and policies of each third party and applicable law.
11.2. If you receive a refund, the refund may not be added to the available funds on the virtual Card for ten (10) business days. Neither Palremit nor its respective affiliates, representatives, employees, or agents are responsible for the delivery, quality, safety, legality or any other aspects of goods or services that you purchase from others with a Virtual Card or any damages resulting directly or indirectly from the use of the Virtual Card. All such disputes must be addressed and handled directly with the merchant from whom those goods or services were purchased.
12.0 Data Protection and Privacy
12.1. We will comply with all applicable data protection laws, policies, and procedures regarding the collection, use, and storage of your data related to our Virtual Cards service.
12.2. Your privacy is important to us. A separate Privacy Policy governs the collection, use, and disclosure of your personal information provided in connection with the issuance of virtual cards. By using our virtual card services, you consent to the collection, use, and disclosure of your information as outlined in the Privacy policy (palremit.com).
12.3. We may disclose information to third parties about your Virtual Card or the transactions you make:
12.3.1.Where it is necessary or helpful for completing transactions;
12.3.2.To verify the existence and condition of your Virtual Card for a third party;
12.3.3.To comply with government agency, court order, or other legal or administrative reporting requirements; 12.3.4.
If you consent by giving us your written permission;
12.3.5.To our employees, auditors, affiliates, service providers, or attorneys as needed;
12.3.6.To prevent, investigate or report possible illegal activity;
12.3.7.To issue authorizations for transactions on the Virtual Card;
12.3.8.As permitted by applicable law; or
12.3.9.Otherwise as necessary to fulfill our obligation under this Agreement.
12.4. We may process anonymized and non-identifiable data related to your virtual card usage for internal purposes, such as analyzing, improving, and developing our services.
13.0 Unclaimed Property
13.1. Applicable law may require us to report to state government authorities any funds remaining with respect to your Virtual Card after a certain period of inactivity. In that event, we may try to contact you at the address shown in our records. If we are unable to contact you, we may be required to transfer any funds remaining with respect to your Virtual Card to state government authorities as unclaimed property.
14.0 Modifications
14.1. We reserve the right to modify or update these T&C at any time, at our sole discretion. We will notify you of any material changes through our platform or other appropriate communication channels. Such changes will take effect as soon as they have been published on our Mobile App or website. Your continued use of the Virtual Card Services following any changes to the T&C signifies your acceptance of the revised T&C.
15.0 Representations and Disclaimers
15.1. Palremit's services are provided “as is” except to the extent prohibited by law, or to the extent any statutory rights apply that cannot be excluded, limited or waived, Palremit, and its respective affiliates or representatives
15.1.1.Make no representations or warranties of any kind, whether express, implied, statutory or otherwise regarding Palremit's services, and 15.1.2. disclaim all warranties, including any implied or express warranties (i) of merchantability, satisfactory quality, fitness for a particular purpose, noninfringement, or quiet enjoyment, (ii) arising out of any course of dealing or usage of trade, (iii) that Palremit's services will be uninterrupted, error-free or free of harmful components, and (iv) that any content will be secure or not otherwise lost or altered.
16.0 Limitation of Liability
16.1. To the fullest extent allowed by law, neither we nor our affiliates will be held liable for direct, indirect, incidental, consequential, or punitive damages (including damages like lost profits, harm to reputation, or other losses) even if a party has been advised of the possibility of such damages. Furthermore, neither Palremit, we nor any of our respective affiliates and representatives will be responsible for any compensation, reimbursement, or damages arising in connection with (a) your inability to use Palremit's Virtual Card Services, (b) the cost of procurement of substitute services; (c) any investments, expenditures, or commitments by you in connection with this T&C; or (d) any unauthorized access to, alteration of or the deletion, destruction, damage, loss or failure to store any of your content or other data.
16.2. In any case, Palremit and our respective affiliates and representative’s aggregate liability under this T&C will not exceed fifty percent (50%) of the total transaction fees and/or service fees you actually paid in the twelve (12) months before the liability arose. The limitations in this section apply only to the maximum extent permitted by applicable law.
17.0 Notices
17.1. We may send legal or marketing notices to you through several methods including email, text message, in-app notifications, and web notifications.
17.2. You have the right to opt out of receiving marketing-related notifications by emailing us at support@palremit.com. Please note that opting out does not preclude us from sending essential legal or service-related notices related to your use of the Virtual Card Service.
17.3. You are responsible for notifying us of any change in your name, physical address, phone number, mailing address, or email address. Requests for address or name changes may be subject to additional verification requirements. We will attempt to communicate with you only by use of the most recent contact information you have provided to us. You agree that any notice or communication sent to you at an address noted in our records shall be effective unless we have received an address change notice from you.
17.4. We cannot accept responsibility for any email messages not received by you, or for any delay in the receipt or delivery of any email notifications. If you make your email account available to any other individual, you agree that you are responsible for any release of your Card Account information to such individual.
18.0 Severability
18.1.If any portion of this T&C is held to be invalid or unenforceable, the remaining portions of this T&C will remain in full force and effect. Any invalid or unenforceable portions will be interpreted to effect and intent of the original portion. If such construction is not possible, the invalid or unenforceable portion will be severed from this T&C but the rest of the T&C will remain in full force and effect.
18.2.Force Majeure
18.3. Neither party shall be liable to the other for any loss or failure to fulfil obligations under these T&C when such loss or failure is caused by circumstances beyond such party's reasonable control. These circumstances may include, but are not limited to labour disputes, telecommunications failures, acts of God (natural disasters), government actions or restrictions, denial of service attacks, floods, fires, pandemics, civil unrest, and acts of terror.
19.0 Assignment and Third-Party Beneficiaries
19.1. You may not transfer or assign these T&C or any associated interest, rights or obligation, without our express written consent. Any attempted transfer or assignment without our consent shall be considered null and void.
19.2. Except for Paremit, its affiliates and representatives, this T&C does not create any third-party beneficiary rights in any individual or entity that is not a party to this T&C.
19.3. We reserve the right to use partners, vendors, or contractors to help provide our virtual card services. We may change these partners, vendors, or contractors at our discretion and without prior notice to you.
20.0 No Waivers.
20.1. The failure by Paremit or us to enforce any provision of this T&C will not constitute a present or future waiver of such provision nor limit Palremit or our representative's right to enforce such provision at a later time. All waivers by Palremit must be in writing to be effective.
21.0 Non-Exclusivity
21.1. Palremit's services are provided on a non-exclusive basis. This T&C will not be interpreted to limit Palremit's right to obtain, promote, or distribute it products or services to third parties.
22.0 Termination:
23.0 You and Palremit may terminate these T&Cs upon 14 days' notice to the other party.
Upon termination, all rights granted to you for Virtual Cards will cease, and you must immediately stop using them.
24.0 Customer Support
24.1. To request for customer support or additional information regarding your Virtual Card, please contact us at [insert customer care line] or support@palremit.com.
24.2. Palremit's active support period is from 9 am to 5 pm (GMT+1) from Monday to Friday excluding public holidays.
24.3. You agree that from time to time, without further notice to you, we may monitor and/or record telephone calls and electronic communications between you and us to assure the quality of our customer service or as required by applicable law.
25.0 Governing Law and Dispute Resolution
25.1. These T&C shall be interpreted and governed by the laws of The State of Delaware, USA.
25.2. In the event of a dispute, the parties involved will first attempt to resolve the matter amicably through good-faith negotiation.
25.3. If a negotiated solution cannot be reached, all disputes arising out of or related to this Agreement or any aspect, will be resolved through final and binding arbitration before a neutral arbitrator instead of in a court by a judge or jury and you hereby waived the right to trial by a jury. You agree that any arbitration under this Agreement will take place on an individual basis; class arbitrations and class actions are not permitted, and you are agreeing to give up the ability to participate in a class action. The arbitration will be administered by the American Arbitration Association (“AAA”).
26.0 Entire Agreement
26.1. This T&C contains the entire agreement of the Parties concerning the subject matter of this T&C and supersedes all prior agreements between or among the Parties, whether written or oral, with respect to the subject matter of this T&C.
